1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between your travel agency ("Partner", "you", or "your") and Sindibad Turizm Ticaret Anonim Sirketi, operating as Safaryar Holidays ("we", "us", or "our"), governing your access to and use of our B2B hotel booking platform, Agency Portal, API services, and related tools (collectively, the "Services").

By registering for an account, accessing the platform, or making bookings through our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

2. Eligibility and Registration

2.1 Business Use Only

Our Services are exclusively for licensed travel agencies, tour operators, and authorized travel professionals. Individual consumer bookings are not accepted.

2.2 Registration Requirements

To register as a Partner, you must provide:

  • Valid business registration documentation
  • Authorized representative contact information
  • Tax identification number
  • Accurate business address and contact details

You are responsible for maintaining the accuracy and completeness of your registration information. We reserve the right to verify your credentials and reject or suspend accounts at our discretion.

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including usernames, passwords, and API keys. All activities conducted under your account are your responsibility. Notify us immediately at info@safaryarholidays.com if you suspect unauthorized access.

3. Services Provided

Safaryar Holidays provides the following services to registered Partners:

  • Hotel Booking Platform: Access to our contracted hotel inventory for searching, comparing, and booking accommodations.
  • Rate Management: Contracted rates from our direct hotel agreements and third-party suppliers including Hotelbeds.
  • Booking Management: Tools for managing, modifying, and cancelling reservations.
  • Financial Services: Deposit balance management, Stripe payment processing, and bank transfer facilities.
  • Documentation: Automated generation of booking vouchers and invoices.
  • API Access: RESTful API and XML integration for automated booking workflows (subject to separate API agreement).

4. Bookings and Reservations

4.1 Booking Process

All bookings are subject to hotel availability and confirmation. A booking is considered confirmed only when a confirmation number is issued by our system. Rate availability may change between search and confirmation.

4.2 Guest Information

You are responsible for providing accurate guest information including names (as they appear on travel documents), nationalities, and any special requirements. Inaccurate information may result in denied check-in, and Safaryar Holidays shall not be liable for consequences arising from incorrect guest data.

4.3 Rate Confidentiality

The contracted rates provided through our platform are confidential and intended solely for B2B use. Partners shall not publicly display our net rates. Partners may apply their own markup when selling to end customers.

5. Pricing and Payment

5.1 Pricing

All prices are displayed in the currency specified in your account settings. Prices include applicable taxes and fees unless otherwise stated. We reserve the right to correct pricing errors and will notify you before processing a booking at a corrected rate.

5.2 Payment Methods

  • Deposit Balance: Prepaid balance loaded via bank transfer or credit card. Bookings are deducted from your available balance at the time of confirmation.
  • Credit Card (Stripe): Pay per booking using credit or debit card through our Stripe integration. A processing fee may apply as displayed at checkout.

5.3 Credit Limit

Credit limits, where granted, are at our sole discretion and may be adjusted or revoked without prior notice. Exceeding your credit limit will prevent new bookings until outstanding balances are settled.

5.4 Outstanding Balances

All payments are due according to the agreed payment terms. Late payments may result in account suspension, booking cancellations, and/or accrual of late payment charges.

6. Cancellations and Modifications

6.1 Cancellation Policies

Cancellation policies vary by hotel and rate type. The applicable cancellation policy and deadline are displayed at the time of booking and detailed in your booking confirmation. It is your responsibility to review and communicate these policies to your clients.

6.2 Free Cancellation

Bookings cancelled before the cancellation deadline are eligible for a full refund to your deposit balance. The refund is processed automatically upon cancellation confirmation.

6.3 Late Cancellation and No-Show

Cancellations made after the cancellation deadline or no-show situations are subject to penalties as specified in the booking terms. Penalty amounts are determined by the hotel's cancellation policy and may range from one night's charge to the full booking amount.

6.4 Modifications

Booking modifications (date changes, room type changes, guest name changes) are subject to hotel availability and approval. Modified bookings may be subject to rate differences and are treated as a new booking for cancellation policy purposes.

7. Refunds

Eligible refunds are credited to your deposit balance within 3-5 business days following cancellation confirmation. Refunds to credit cards (for Stripe payments) are processed within 5-10 business days depending on your card issuer. Safaryar Holidays is not responsible for refund processing times beyond our control.

8. Intellectual Property

All content, software, designs, logos, trademarks, and materials on our platform are the property of Sindibad Turizm Ticaret Anonim Sirketi or its licensors. You may not reproduce, distribute, modify, or create derivative works from our content without prior written consent.

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your legitimate business operations as a registered Partner.

9. API Terms

Partners with API access agree to the following additional terms:

  • API keys are confidential and must not be shared with unauthorized parties.
  • Respect rate limits and burst limits configured for your account.
  • Do not use automated tools to circumvent rate limiting or scrape data beyond authorized use.
  • We reserve the right to revoke API access for misuse, excessive load, or violation of these Terms.

10. Prohibited Activities

You agree not to:

  • Use the Services for any unlawful purpose or in violation of applicable regulations.
  • Publicly display or advertise our net/contracted rates to end consumers.
  • Attempt to gain unauthorized access to our systems, other user accounts, or restricted areas of the platform.
  • Submit false, fraudulent, or misleading booking information.
  • Reverse engineer, decompile, or disassemble any part of the platform or API.
  • Use the Services in a manner that could damage, disable, or impair our infrastructure.
  • Resell or sublicense access to the platform without our written authorization.

11. Limitation of Liability

To the maximum extent permitted by law, Safaryar Holidays shall not be liable for:

  • Hotel service quality, amenities, or conditions — responsibility lies with the hotel property.
  • Indirect, incidental, special, consequential, or punitive damages arising from use of our Services.
  • Losses resulting from service interruptions, system failures, or circumstances beyond our reasonable control (force majeure).
  • Consequences of inaccurate guest information provided by Partners.

Our total aggregate liability for any claim arising from these Terms shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Sindibad Turizm Ticaret Anonim Sirketi, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

13. Termination

  • By You: You may terminate your account at any time by providing written notice. Outstanding bookings and financial obligations remain in effect after termination.
  • By Us: We may suspend or terminate your account for violation of these Terms, non-payment, fraud, or any reason at our reasonable discretion with 30 days' written notice (or immediately in cases of fraud or security breach).

Upon termination, your access to the platform will be revoked. Outstanding balances will be settled according to the applicable payment terms.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from or relating to these Terms shall be resolved exclusively by the courts and enforcement offices of Istanbul, Turkey.

15. Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to registered Partners at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
